Udyam registration for freelancers

Free and quick. What Udyam does for a freelancer (mainly faster payment from Indian businesses), and how to register without paying an agent.

FIC EditorialUpdated

Udyam is the government's free registration for micro, small and medium enterprises. A freelancer counts as one. It takes about 20 minutes, and its main use for you is simple: it gives you a legal way to push Indian business clients to pay on time.

Checked on 15 October 2026. Rules and fees change; confirm with your CA or bank.

What Udyam does and does not do

Udyam registration gives you a permanent number (UDYAM-XX-00-0000000) and a certificate that says you are a micro, small or medium enterprise under the MSMED Act, 2006. It is not a tax registration. It does not replace GST, does not make you register for GST, and does not change your income tax.

Classification has been based on investment and turnover since April 2025. A micro enterprise has up to ₹2.5 crore invested in equipment and up to ₹10 crore of turnover, and export turnover is left out of the count. Almost every freelancer is a micro enterprise.

Benefits that are real for a freelancer

Most lists of "MSME benefits" are written for factories. For someone selling services from a laptop, these are the ones that hold up.

The 45-day payment rule

Under section 15 of the MSMED Act, a buyer who takes services from a micro or small enterprise must pay by the date agreed in writing, and that date cannot be more than 45 days after the buyer accepts the work. If nothing was agreed in writing, the limit is 15 days. Work counts as accepted if the client raises no written objection within 15 days of delivery.

Pay late, and section 16 makes the client liable for compound interest, with monthly rests, at three times the bank rate notified by the RBI. That applies whatever the contract says, so a client's "payment in 90 days" clause does not override it.

Why accounts teams now ask for your Udyam number

Since the Finance Act, 2023, a business that pays a micro or small enterprise later than the MSMED limit can claim that cost as a tax deduction only in the year it actually pays (section 37(2)(g) of the Income-tax Act, 2025, which was section 43B(h) of the old Act). An unpaid invoice of yours on 31 March can raise the client's tax bill for the year. Many larger companies now track MSME suppliers separately and pay them first. Your Udyam number puts you in that queue.

A complaint route that is not a court case

If an Indian business client still does not pay, a Udyam-registered micro or small enterprise can file a delayed payment case online through MSME Samadhaan (new applications go through the MSME ODR portal). The case goes to your state's MSE Facilitation Council, which tries conciliation and then arbitration, and is meant to decide within 90 days. The deposits and payment terms playbook covers the clauses and reminders to use first, and difficult clients the conversation before it comes to this.

Smaller ones

  • Banks accept the Udyam certificate as one of the two business documents a sole proprietor needs to open a current account, which helps if you have no GSTIN. See separating business finances.
  • Wise accepts it as a supporting document when verifying a sole proprietor, alongside a GSTIN or IEC.
  • It makes you eligible for government-backed collateral-free business loans and MSME schemes, if you ever need them.

What it does not get you: lower income tax, GST exemptions, or a cheaper trademark (individuals already pay the lower trademark fee). Foreign clients are outside all of the payment protections.

What you need

  • Your Aadhaar number, with the mobile number linked to it for the OTP
  • Your PAN (if you do not have one, the Instant e-PAN service on incometax.gov.in issues one free through Aadhaar in a few minutes)
  • Your GSTIN, only if you are registered for GST
  • Your bank account number and IFSC
  • A rough figure for what your equipment cost (laptop, camera, software you own) and your last year's turnover

You do not upload any documents. Investment and turnover are checked against your income tax and GST records through your PAN.

Line for invoices and contracts
Udyam Registration No: UDYAM-MH-19-0123456 (micro enterprise, services).
Payments are subject to sections 15 to 17 of the MSMED Act, 2006. Invoices are due within 15 days of the invoice date and in any case within 45 days of acceptance of the work.

Add it to your invoice template (the GST invoices playbook shows where), your contract or SOW, and the vendor form the client sends you. Many vendor forms now have an "MSME status" field; fill it in, and attach the certificate.

Reply to a client's vendor form
Hi Neha,

Attaching the filled vendor form. I am registered as a micro enterprise under Udyam (UDYAM-MH-19-0123456); certificate attached. My standard terms are payment within 15 days of invoice.

Thanks,
Kabir

If you also need to decide about GST, the GST registration playbook covers when it is required. The two are independent, and you can hold either one without the other.

If you only do one thing: register on the official portal today, before your next Indian contract is signed.

Common questions

Can a freelancer get Udyam registration?

Yes. A freelancer providing services is an enterprise under the MSMED Act and can register as a proprietorship using their own Aadhaar and PAN. There is no minimum income. With a laptop and a few lakh of turnover you are a micro enterprise, the smallest category, which is the one the payment protections are written for.

Is Udyam registration free?

Yes. Registration on udyamregistration.gov.in costs nothing and needs no documents to be uploaded. The portal itself warns that private sites with similar names charge fees. If you have paid one, you have paid for a form you could have filled in yourself in about 20 minutes.

Is GST mandatory for Udyam registration?

No, not if you are not required to register for GST. The rule is that a GSTIN is needed only where the GST law requires you to have one. A freelancer below the GST threshold can register on Udyam with Aadhaar and PAN alone. If you already have a GSTIN, enter it.

What is the MSME 45-day payment rule?

Under the MSMED Act, 2006, a buyer must pay a micro or small enterprise by the date agreed in writing, and that date cannot be more than 45 days after the buyer accepts the work. With no written agreement, the limit is 15 days. Late payment carries compound interest, with monthly rests, at three times the bank rate notified by RBI.

Does Udyam registration help with foreign clients?

Not with payment. The MSMED Act and the income tax rule that pushes Indian businesses to pay on time do not reach a client abroad. Udyam can still help on the banking side: it is one of the business documents banks accept for a current account, and Wise accepts it as a supporting document for a sole proprietor.
